Solitaire Infomedia Private Limited is the leasehold land-owning entity in respect of the commercial project situated at Plot No. 201, Knowledge Park-V, Greater Noida, Uttar Pradesh, allotted by the Greater Noida Industrial Development Authority (GNIDA). The company, in its capacity as the land-holding entity, entered into a Collaboration Agreement dated October 1, 2012, granting development and construction rights in respect of the project to Premia Projects Limited, while retaining a specified share in the developed area.
Due to default in repayment of financial obligations, an application under Section 7 of the Insolvency and Bankruptcy Code, 2016, bearing CP (IB) No. 644/ND/2023, was filed by the Financial Creditors before the Hon’ble National Company Law Tribunal, New Delhi Bench. The application was admitted vide order dated June 3, 2025, thereby initiating the Corporate Insolvency Resolution Process (CIRP) against the company for a default amount of ₹12,72,38,406.66. Premia Projects Limited (CIN: U45200DL2012PLC235075) is a public limited company incorporated on December 1, 2012, under the Companies Act, 1956, and registered with the Registrar of Companies, Delhi. The company is engaged in the business of construction, development of buildings, and civil engineering projects, as reflected under NIC Code 4520. The authorized share capital of the company is ₹2,00,00,000 and its paid-up share capital is ₹5,00,000. The directors of the company include Mr. Tarun Shienh, Mr. Raju, and Mr. Mahesh Kumar.
Pursuant to the Collaboration Agreement dated October 1, 2012, executed with Solitaire Infomedia Private Limited, Premia Projects Limited was granted the exclusive development, construction, marketing, and builder rights for the commercial project known as “Premia 1st Corporate City” situated at Plot No. 201, Knowledge Park-V, Greater Noida. Under the terms of the agreement, Premia Projects Limited was entitled to approximately 90% of the developed / built-up area, along with the corresponding rights to construct, sell, allot, and market units in the project, while Solitaire Infomedia Private Limited retained approximately 10% share in the developed area as the land-owning entity.
Premia Projects Limited was responsible for obtaining approvals, undertaking construction, and executing allotments to homebuyers and investors in accordance with the development arrangement.
Consolidation of CIRP (Joint CIRP)
The Hon’ble National Company Law Tribunal, New Delhi Bench, vide order dated February 12, 2026, ordered the substantive and procedural consolidation of the Corporate Insolvency Resolution Processes of Solitaire Infomedia Private Limited and Premia Projects Limited into a single Joint CIRP. The consolidation was ordered considering the interconnected nature of the assets, liabilities, and the underlying real estate project, wherein Solitaire Infomedia Private Limited holds leasehold rights over the project land and Premia Projects Limited holds development, construction, and builder rights and obligations.
The Hon’ble Tribunal observed that both companies are intrinsically linked through the development of the same real estate project, and that resolution of either entity in isolation would not result in an effective or value-maximizing outcome for creditors, allottees, and other stakeholders. Accordingly, the Tribunal directed that the assets, land rights, development rights, and liabilities of both Corporate Debtors shall be treated as part of a single consolidated insolvency estate, and that a common Committee of Creditors (CoC) shall be constituted. The Tribunal further permitted submission and consideration of joint resolution plans covering both Corporate Debtors and granted a fresh CIRP period in accordance with the provisions of the Insolvency and Bankruptcy Code, 2016.
Pursuant to the consolidation order, the earlier separate CIRP proceedings of Solitaire Infomedia Private Limited and Premia Projects Limited shall stand subsumed into the present Joint CIRP, and the consolidated process shall be treated as a fresh CIRP for the purposes of resolution. Accordingly, all creditors, including financial creditors, operational creditors, statutory authorities, and allottees, are required to submit their claims afresh in the prescribed forms within the timelines specified in the public announcement issued for the Joint CIRP. Claims submitted in the earlier individual CIRP proceedings shall not automatically be considered unless re-submitted in accordance with the consolidated CIRP process and applicable regulations.

Pursuant to the orders of the Hon’ble National Company Law Tribunal, Mr. Jalesh Kumar Grover, Insolvency Professional (Registration No.: IBBI/IPA-001/IP-P00200/2017-2018/10390), has been appointed as the Resolution Professional for the Joint CIRP of Solitaire Infomedia Private Limited and Premia Projects Limited. The management of the affairs, business, and assets of both Corporate Debtors presently vests with the Resolution Professional in terms of the Insolvency and Bankruptcy Code, 2016.
